TERMS & CONDITIONS AND END USER LICENSE AGREEMENT (EULA) — NUMO

These Terms & Conditions and End User License Agreement (together, the "Terms")

govern your access to and use of the Numo mobile application, website, and

related services (together, the "Service") provided by Numo ("we," "us," or

"our"). By downloading, installing, accessing, or using Numo, you agree to be

bound by these Terms. If you do not agree, do not use the Service.

CHILDREN & PARENTS: Numo is a learning app intended for children and is designed

to be set up and managed by a parent or legal guardian. If you are under the age

of majority where you live, a parent or legal guardian must read, agree to, and

accept these Terms on your behalf and supervise your use of the Service.

1. ACCEPTANCE & ELIGIBILITY

By using the Service you represent that you are at least 18 years old, or that

you are an emancipated minor, or that you have the consent of a parent or legal

guardian and the legal capacity to enter into these Terms. Numo is intended for

personal, non-commercial educational use. If you are accepting these Terms on

behalf of a child, you agree to be responsible for that child's use of the

Service and for all activity that occurs under your account, including any

purchases.

2. LICENSE GRANT (EULA)

Subject to your compliance with these Terms, we grant you a limited,

non-exclusive, non-transferable, non-sublicensable, revocable license to

download and use one copy of the Numo application on a device that you own or

control, solely for your personal, non-commercial use. This license is governed

by these Terms and, where applicable, by the rules of the app store from which

you obtained the app.

Apple App Store users: This license applies to use of Numo on any Apple-branded

device you own or control as permitted by the Apple App Store "Usage Rules" in

the Apple Media Services Terms and Conditions. The additional Apple-specific

terms in Section 11 apply to you.

3. LICENSE RESTRICTIONS

You agree that you will not, and will not permit anyone else to:

- copy, modify, adapt, translate, or create derivative works of the Service;

- reverse engineer, decompile, disassemble, or attempt to derive the source

code, except to the extent this restriction is prohibited by applicable law;

- rent, lease, lend, sell, sublicense, distribute, or otherwise commercialize

the Service;

- remove, alter, or obscure any proprietary notices;

- use any automated means (bots, scrapers) to access the Service or extract

data;

- circumvent, disable, or interfere with security or usage-limit features

(including subscription paywalls);

- use the Service to develop a competing product or to train a machine-learning

model.

4. ACCOUNTS & PARENTAL RESPONSIBILITY

Some features require a profile (for example, a child's grade level and

progress). You are responsible for maintaining the confidentiality of any

device, passcode, or credentials used to access the Service and for all activity

that occurs under your account. Parents and guardians are responsible for

supervising children's use, managing settings, and authorizing any purchases.

5. SUBSCRIPTIONS, FREE TRIALS & BILLING

Numo offers an optional auto-renewing premium subscription ("Numo Premium") that

unlocks features such as unlimited practice, the AI homework helper, full

progress reports, and all games and badges.

Plans & pricing

- Monthly: billed each month at the price shown in the app (for example,

US$9.99/month). The monthly plan does not include a free trial.

- Annual: billed once per year at the price shown in the app (for example,

US$69.99/year), and may include a 7-day free trial for new subscribers.

Prices are displayed in the app in your local currency before purchase and may

vary by region, store, and over time. The price shown to you at the point of

purchase governs.

Free trial

If a free trial is offered, the trial gives you access to premium features for

the stated period (for example, 7 days). Unless you cancel at least 24 hours

before the trial ends, your subscription will automatically convert to a paid

subscription and your payment method will be charged the applicable price. Any

unused portion of a free trial is forfeited if you purchase a subscription

during the trial. Free trials are limited to one per user and may not be

combined with other offers.

Auto-renewal

- Subscriptions automatically renew at the end of each billing period unless

canceled at least 24 hours before the end of the current period.

- Your account is charged for renewal within 24 hours before the end of the

current period, at the then-current price for the same plan.

- Payment is charged to the payment method on file with your app store (Apple

App Store or Google Play).

Managing your subscription

You can view, manage, or cancel your subscription and turn off auto-renewal at

any time in your app store account settings:

- Apple: Settings > your name > Subscriptions.

- Google Play: Play Store > Profile > Payments & subscriptions > Subscriptions.

6. CANCELLATION & REFUNDS

You may cancel at any time through your app store account settings; cancellation

takes effect at the end of the current billing period, and you retain premium

access until then. We do not directly process payments and generally cannot

issue refunds — all purchases are processed and managed by the Apple App Store or

Google Play, and refunds are subject to those stores' policies.

- Google Play: request refunds through the Google Play Store or

https://support.google.com/googleplay

7. USER CONTENT & UPLOADED PHOTOS

Numo may let you upload or capture a photo of a worksheet or math problem so the

Service can help solve it ("User Content"). You retain ownership of your User

Content. You grant us a limited, worldwide, royalty-free license to host,

process, and use that content solely to operate and provide the Service to you

(for example, to generate a step-by-step solution). You represent that you have

the right to submit the content and that it does not violate any law or

third-party right. Do not upload photos that contain other people, sensitive

personal information, or material you do not have permission to share.

8. AI FEATURES & EDUCATIONAL DISCLAIMER

Numo includes AI-assisted features (such as the homework helper) that generate

explanations and practice content. AI output may be incomplete, inaccurate, or

unsuitable for a particular assignment, and is provided for learning and practice

purposes only. It is not a substitute for professional instruction, a teacher, or

a tutor. Always review answers, and use parental judgment. We make no guarantee

about academic outcomes or grades.

9. ACCEPTABLE USE

You agree not to use the Service to:

- violate any law or the rights of others;

- upload unlawful, harmful, harassing, or infringing content;

- interfere with, disrupt, or overload the Service or its infrastructure;

- attempt to gain unauthorized access to any account, system, or data.

10. INTELLECTUAL PROPERTY

The Service, including all software, text, graphics, the Numo name and logo,

mascot, and all related content, is owned by us or our licensors and is protected

by intellectual-property laws. Except for the limited license granted above, no

rights are granted to you. All rights not expressly granted are reserved.

11. THIRD-PARTY SERVICES & APP STORES

The Service is made available through, and relies on, third parties including the

Apple App Store, Google Play, and our subscription/payment infrastructure

provider. Your use may also be subject to those parties' terms.

Apple-specific terms

- These Terms are between you and Numo only, not with Apple. Apple is not

responsible for the Service or its content.

- Apple has no obligation to provide maintenance or support for the Service.

- In the event the Service fails to conform to any applicable warranty, you may

notify Apple, and Apple may refund the purchase price (if any); to the maximum

extent permitted by law, Apple has no other warranty obligation.

- Apple is not responsible for addressing any claims relating to the Service,

including product-liability, legal/regulatory, or consumer-protection claims.

- Apple is not responsible for investigating or resolving any third-party

intellectual-property infringement claim relating to the Service.

- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms

and may enforce them against you.

- You represent that you are not located in a country subject to a U.S.

Government embargo or designated as "terrorist-supporting," and that you are

not on any U.S. Government restricted-party list.

Google Play

If you obtained Numo from Google Play, your use is also subject to the Google

Play Terms of Service. Google is not a party to these Terms and is not

responsible for the Service.

12. PRIVACY

Our collection and use of personal information is described in our Privacy Policy

(https://www.numomath.net/privacy-policy), which is incorporated into these Terms

by reference. Because Numo is intended for children, we design our data practices

to comply with applicable children's privacy laws (such as COPPA in the United

States and GDPR-K in the EU/UK). Please review the Privacy Policy to understand

what we collect and how we handle it.

13. TERMINATION

These Terms remain in effect until terminated. We may suspend or terminate your

access at any time if you breach these Terms or if we discontinue the Service.

You may stop using the Service at any time and delete the app. Upon termination,

the license granted to you ends and you must stop using the Service. Sections

that by their nature should survive (including ownership, disclaimers, limitation

of liability, and indemnification) will survive termination.

14. DISCLAIMERS OF WARRANTY

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY

KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE,

OR THAT ANY CONTENT OR AI OUTPUT IS ACCURATE OR RELIABLE. SOME JURISDICTIONS DO

NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY

TO YOU.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NUMO OR ITS SUPPLIERS BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES,

OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE

OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL

NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE

EVENT GIVING RISE TO THE CLAIM, OR (B) US$50. SOME JURISDICTIONS DO NOT ALLOW

CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. INDEMNIFICATION

You agree to indemnify and hold harmless Numo and its officers, employees, and

agents from any claims, damages, liabilities, and expenses (including reasonable

legal fees) arising out of your misuse of the Service, your User Content, or your

violation of these Terms or applicable law.

17. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the jurisdiction in which Numo is

established, without regard to conflict-of-law rules, and subject to any mandatory

consumer protections of your country of residence. You agree that any dispute

will be resolved in the competent courts of that jurisdiction, unless applicable

law gives you the right to bring proceedings elsewhere. Nothing in these Terms

limits any non-waivable statutory consumer rights you may have.

18. CHANGES TO THESE TERMS

We may update these Terms from time to time. When we make material changes, we

will update the "Last updated" date above and, where appropriate, provide notice

in the app. Your continued use of the Service after changes take effect

constitutes acceptance of the revised Terms.
